Notice is hereby given that the Annual General Meeting of the Law Society of Ontario will be held by electronic means on Thursday, Sept. 18, 2025, beginning at 5:15 in the afternoon. All Law Society licensees are invited to attend.

Information on access to the Meeting will be provided to licensees prior to the Meeting date via email and on the Law Society’s website.

Motions

Any motion to be made at the Annual General Meeting must be in writing and signed by 10 lawyers or paralegals whose licences are not suspended at the time of signature. The motion must be delivered to the Secretary via email to lsoagm@lso.ca no later than 5 p.m. on Monday, Aug. 11, 2025.

MOTION FILED!!

While I am now happy to report that my motion was ultimately approved as filed, there were hiccoughs.

Specifically my first try included 10 licensees’ signatures along with mine as the mover.

That was one too many supporters, apparently.

Turns out the Rule is to be read as requiring exactly 10 signatures, including that of the mover.

No more, no fewer.

For a second there I thought I might have to bring a second motion to amend the Rules for motions!

But in the end we prevailed – by cutting someone out – redacting the Motion to remove the pesky extra supporter.

I am grateful to the ten licensees who signed my motion and the other 10 extras who signed up the back-up motion, prepared in case of trouble, but useless in the end as that was also one too many who cared.

I will be gathering signatures for my motion to be brought at the LSO’s AGM this September – today.

I did advise Treasurer Wardle and staff that I would bring the motion and also indicated that public disclosure of the information prior to the AGM would obviate the motion. I have not heard back – hence, the motion.

MOTION TO BE BROUGHT AT THE ANNUAL GENERAL MEETING ON THURSDAY SEPTEMBER 18, 2025 at 5:15 pm

That the Law Society of Ontario will disclose to licensees and to the public at its next Convocation or as soon as is practicable, but before December 31, 2025, both orally at a meeting of Convocation and by publishing to its website under the Latest News Tab and via email to all licensees, the following information:

THE GLOBAL COST OF THE INCREASES TO FORMER / THEN CEO DIANA MILES’ COMPENSATION AS APPROVED BY FORMER LSO TREASURER (NOW SCJ JUSTICE) JACQUELINE HORVATH IN JUNE OF 2024 AND THE FEES INCURRED BY THE LAW SOCIETY IN RELATION TO THAT INCREASE, BOTH BEFORE THE JUNE 2024 CONTRACT WAS SIGNED AND IN THE WAKE OF THE INCIDENT AS A RESULT OF CONCERNS AND PUBLIC OUTCRY UP TO TODAY’S DATE, INCLUDING, BUT NOT LIMITED TO THE FOLLOWING FEES AND OTHER COSTS TO BE DISCLOSED – INDIVIDUALLY ITEMIZED AND TOTALLED:

1. Total Legal Fees and related costs incurred by the Law Society of Ontario and paid to the Law Firm Hicks Morley for providing former Treasurer, now Justice of the Superior Court of Ontario, Jacqueline Horvath a legal opinion including on the question of her authority to alter terms of the Compensation Committee and/or then CEO Diana Miles’ compensation, without Convocation Approval

2. Total Legal Fees and related costs incurred by the Law Society of Ontario and paid to lawyer Erin Kuzz who prepared then CEO Diana Miles’ new employment contract in June of 2024

3. Former CEO Diana Miles’ salary as of May 2024 and the increases in her compensation that were approved by former Treasurer Jacqueline Horvath

4. Total Fees and related costs incurred by the Law Society and paid for “The Gallagher Report” – first compensation Review provided to Former Treasurer Horvath and/or the Compensation Committee

5. Total Fees and related costs incurred by the Law Society and paid for “The Towers Report” – second compensation Review and review of the Gallagher Report

6. Total Fees and related costs incurred by the Law Society and paid for “The O’Connor Report” – Investigation and Conclusions / Legal Opinion provided to the Treasurer Peter Wardle and Convocation by retired Justice Dennis O’Connor at the BLG Law Firm regarding the events surrounding Diana Miles’ Compensation

7. Total Fees and related costs incurred by the Law Society and paid for the GT & Co PR firm to manage the Society’s Image in the wake of public outcry following revelation of the compensation increases for former CEO Diana Miles

8. Total Fees and related costs incurred by the Law Society and paid for Governance Expert Richard Leblanc to advise on review and revision of LSO By-Laws and practices of Convocation – to date – and anticipated costs going forward, if known.

9. Total Other Fees and related costs incurred by the Law Society and paid as a result of services or advice or reports provided by anyone else about whom licensees have not already been made aware, in relation to increases of former CEO Diana Miles’ compensation in June of 2024, whether incurred in relation to that proposed increase prior to June of 2024 or as a result of public outcry following revelation of the increase in question or in any other way at any other time.

10. An Undertaking by the Law Society and Convocation to report to licensees in the same manner as prescribed in this motion above any further or other fees or costs yet to be incurred as a result of this incident and managing its aftermath, contemporaneously as they are incurred.
